摘要：近年来，由于经济环境和金融政策的变化，我国民间借贷活动更加活跃，借贷形 式也愈加丰富化，“以买卖合同担保民间借贷合同”便是其中的典型。关于该类合同的性 质，存在广泛的解释空间，应在现有法律秩序框架下，结合当事人订立合同的主观意图、 客观情势等作出审慎判断。就该类合同与流押条款的关系，应在考察相关约定内容对当事 人法律地位的实际影响，既尊重意思自治又兼顾经济秩序后作出综合判断。91326

一、引言

我国的契约制度可追溯至西周时期。据《周礼》记载，买卖契约被称为“质剂”，借 贷契约被称为“傅别”。原本属于两条平行线上的契约形式却在近年来越走越近甚至有时 相互交织。如在某些民间借贷合同中，债权人出于保护自己的利益，或是避开法律关于民 间借贷利息的限制，亦或是别的法律风险，往往在订立民间借贷合同的同时或者之后，再 订立买卖合同，以此作为民间借贷合同的保障，在债务人无法清偿债务时，债权人有权请 求其履行买卖合同。
