摘要创业板市场的推出为中小企业带来了资金上的帮助，而超额融资、大股东套现等现象也给企业的融资带来了一定的风险。文章通过查阅相关资料、运用数据分析指出，中小企业在创业板市场上融资主要存在定位不清、股价波动、企业信息披露要求严格、企业敌意收购、上市业务以及技术风险和创业板退市风险这六种类型的风险。为了破解这一难题，需要政府、银行、企业多方联动，多措并举,建立科学、严格的市场准入制度，增强相关机构的监督、完善上市公司的信息披露制度，加强对股票市场的监管、加大对中小企业的政府扶持力度，同时，企业要不断提升自身的发展水平与潜力，从而提升其在创业板市场的融资能力。51036

Financing Risk of Small and Medium-sized Enterprises in GEM and its Countermeasures
Abstract
The introduction of Growth Enterprise Market (GEM) provides financial support for the financing of small and medium-sized enterprises, but the consequent results like excess financing, large shareholders’ cashing also bring some risks. This paper points out that small and medium-sized enterprises are faced with six main types of risks in GEM, say, unclear objective, fluctuations of stock prices, strict requirements of information disclosure, hostile takeover, listing work and technical risk, and delisting risk. To solve the problem, jointed efforts of governments, banks and enterprises are called to establish a scientific and strict market access system, to strengthen institutions supervision, to improve the listed company's information disclosure system, to strengthen the supervision of stock market trading, as well as to increase governmental support of small and medium-sized enterprises. At the same time, enterprises themselves should constantly improve their own development level and potential, so as to enhance their ability of financing in GEM .
