摘要近年来，企业并购已经成为证券市场和市场经济继续向纵深发展的热点，是现代市场经济中最活跃的经济行为。全球第五次企业并购浪潮以横向并购为主，我国企业的并购形式也呈现以同业间横向并购为主的趋势。然而，纵观近年来的并购浪潮，国内外大量的并购案例也表明，世界上大多数并购行为并没有达到预期的效果。本论文以加加食品并购阆中王中王为例，立足其并购动因，分析其并购后的绩效，一方面检验并购对加加食品的影响是否达到预期以及企业横向并购的效应，另一方面，分析横向并购是否能够提高企业的绩效，并总结出提高企业横向并购绩效的建议，让企业以更加理性的眼光来看待并购，促使企业采取有针对性的积极措施，减少企业并购的负绩效，提高企业并购的正绩效。45470

Abstract In recent years, Merger and Acquisition has become a hot spot in the securities market and the further development of market economy, is the most active economic behavior in the modern market economy. From a global point of view, the most part of the fifth wave of Mergers and Acquisitions is horizontal Mergers and Acquisitions. Similarly, horizontal Merger is the main trend in China. However, all the wave of Mergers and Acquisitions shows that a lot of Merger and Acquisition cases at home and abroad did not achieve its desired effect. Jiajia Food Group Co., Ltd. has merged LangZhong, and this thesis takes it as an example, basing on its motivation, analyzes its performance after merger; on the one hand, this thesis examine whether Jiajia has achieved its merger performance, and learn the influence of the effect of horizontal mergers; on the other hand, this thesis gives some suggestions that how to improve the performance of enterprises after horizontal merger, making enterprises in a more rational view of mergers and acquisitions, prompting companies to actively adopt targeted measures to achieve positive performance of mergers and acquisitions.45470

 企业横向并购的绩效分析——以加加食品并购阆中王中王为例
 一、绪论
（一）研究背景
随着经济全球化的快速发展，我国企业在国内、国际市场的竞争日趋激烈，并购作为一个企业扩大规模，获得核心竞争力，实现战略发展目标的一种方式。微观上，并购能带来资本增值，优化资本结构，促进产业升级和提高产业集中度；宏观上，有益于资源的优化配置，提高社会整体经济的效益。然而，纵观近年来的并购浪潮，国内外大量的并购案例也表明，大部分的并购行为并没有达到预期，而能否实现并购的协同效应是企业并购成功的关键。另外，横向并购的绩效研究在我国也有一定的发展，但现存的文献多以独立介绍各种各样的并购绩效研究方法以及理论研究为主；近年来，逐渐才有部分学者从并购动因的角度来检验并购绩效是否达到并购的预期。再者，加加食品虽是国内知名的股份制调食品企业，综合实力强，但自上市以来，公司收入增长缓慢，自2012年以来销售规模和盈利持续下降；但多家机构仍看好加加食品，对加加食品未来的高成长性信心满满。 企业横向并购的绩效分析:http://www.youerw.com/guanli/lunwen_46912.html
