摘    要 在大陆法系理论中，缔约过失责任因其涉及了合同双方在订立合同过程中所发生的权利和义务，而成为合同法中的一项重要而特殊的内容。缔约过失责任以先合同义务存在为前提，保护权利人的信赖利益或固有利益。学术界对缔约过失责任的赔偿范围一直颇有争议。文章认为缔约过失责任的赔偿范围应包括信赖利益及固有利益，其中信赖利益又包括直接和间接损失，且以履行利益为限。85115

In the continental law system,concering the rights and duties during the negotiation of the contract ,culpa in cortrahendo becomes an important anf special content in the law of contract。The existence of pre-contract obligation is the premise of the liability for contracting fault。 The liability of culpa in contrahendo protect the rights of the person's reliance interest or inherent interests。The scope of compensation for the fault lability of the contracting parties is still quite a controversial in the academic circles。The article argues that the compensation scope of the contracting fault liability shall include the reliance interest and the inherent benefit, and the reliance interest should include direct and indirect losses, and cannot breakthrough the limitation of performance interest。
