This paper argues that the listing and financing is the main cause of China's enterprises select the backdoor listing, and the backdoor of the publicity, management, motivation and development effect and the backdoor avoid delisting and RE development promoted the boom of the backdoor。 And on the backdoor listing the consequences, whether short-term or long-term, backdoor listing have caused obvious market reaction, especially the announcements of the behavior near completion time, but then a section of the market will reverse adjustment before the overreaction, but in general, backdoor listing after the performance to better than the backdoor listing before, so through the backdoor way promotion of the listed companies and unlisted companies benefit in our country is feasible。
