摘要近年来，国家对《公司法》的相关立法和司法解释不断改进，对中小股东的权益保护也有了更多的关注与重视。但在司法实践中，大股东往往利用自身的的股权和公司地位，滥用自己的职权，肆意的破坏公司章程或者《公司法》的相关规定，让中小股东的众多合法权益受到惨重伤害。另外《公司法》中对中小股东权益保护的一些措施在实际生活中没有得以有效执行，这些现象在一定程度上会降低公民对司法的公信力，造成公民缺失对法律的信任，这与我国依法治国精神明显东趋西步。针对此种现象，本文从为何中小股东权益频频受到侵害这一困惑开始，探讨加强中小股东权益保护对公司及法治社会发展的重要性以及必要性，并通过分析中小股东在实际操作中权益不能得到有效保护的问题与现象，探求巩固中小股东权益的各种方法，提出自己对中小股东权益保护的倡议与保障措施。78484
