摘 要：公司法人人格否认制度在一定条件下否认公司股东有限责任，对法人人格制度可能对债权人及股东造成的损害进行规避的一种制度。我国新《公司法》对滥用公司法人人格行为及责任承担做出一般概括性规定，但是对于如何具体适用尚缺乏详尽规定，司法实务中对举证责任分配和执行中如何适用存在较大争议，以致法人人格否认适用案例较少，较难有效保障债权人利益。特此，本文针对法人人格否认制度的概念及其特征，并结合我国现行法律规定，对于公共利益维护主体，管辖权的安排，举证责任的分配与在执行中有条件适用该项制度提出建议。72958

On the perfection of the disregard of corporate personality

Abstract: Under certain conditions, the company legal person personality denial system denies the limited liability of company shareholders, and a system to avoid the damage to the creditors and the shareholders。 China's new "company law" the abuse of corporate personality and behavior and responsibility commitment to the general provisions, but for how to apply the lack of detailed provisions, judicial practice of allocation of burden of proof and implementation of how to apply the controversial that legal personality denied less applicable case, is difficult to effectively protect the interests of creditors。 Hereby, this paper for corporate personality denied the concept and characteristic of the system, and combined with the current laws of our country, subject to maintenance of public interest and jurisdiction arrangement, the allocation of the burden of proof and in the implementation have conditions for the system are proposed。

一、引言

    公司法司法解释三在13，14条集中对否认公司法人人格否认制度做出了规定，其涉及范围围绕出资展开，对于股东滥用出资权利逃避债务的行为进行了规范。但是对于在实践中如何保护债权人的利益及社会公共利益，举证责任如何合理分配，执行中能否适用，并未有详尽说明。特撰此文，以提意见。论文网
