摘 要
上市公司在我国企业中基本是一些优良企业，并且都具有一定的规模，随着我国经济与世界经济的接轨，我国也将会有更多的企业随之上市，上市公司将会在我国的经济社会中起到举足轻重的作用，在一定程度上决定了我国经济的发展。随着上市公司规模的逐步扩大，公司管理过程和技术也日趋复杂化，特别是近年来，我国上市公司存在的问题也越来越突出，同时受到国家、证券市场、企业和广大投资者的重视。现代公司治理问题和实践已经成为各国管理界普遗研究的一项课题。在我国，公司治理是被作为“公司治理结构”来研究的，其对我国企业制度的改革具有极其重要的现实意义。本文结合我国上市公司股权结构的基本情况，在对我国上市公司公司治理结构存在问题研究的基础上，寻求不断完善我国上市公司公司治理的措施。

ABSTRACT
Listed companies in china business is basically good enterprises and some there are certain scale, As Our economy and integration into the world economy, china will be more enterprise in season, a listed company will be in our economy to a very important role. in certain extent on our own economic development. As a listed company of expanding, company management processes and techniques is complicated, especially in recent years, our problems are increasingly prominent, and by the state, the stock market, enterprises and the investors of this article in our country a listed company's corporate governance structure in the research on the basis of the search for improving our corporate governance.
